Parent. Teacher and Friends Association (PTFA)
CONSTITUTION
October 2006
1. Name
The name of the Association shall be the Bankwood Community Primary
School Parent, Teacher and Friends Association.
2. Objects
The objects of the Association shall be to advance the education of
the pupils attending the School by providing or assisting in the
provision of facilities for education at the School and as an ancillary
thereto and in furtherance of this object the association may:-
(a) foster more extended relations between the staff, parents and
others associated with the school; and
(b) engage in activities which support the school and advance the
education of the pupils attending it.
3. Membership
All parents (or carers) of children at the school shall be entitled
to membership of the Bankwood PTFA.
4. All members of School Staff of the school shall be members of
the Association ex officio.
5. Committee
The Association shall be administered by an Executive Committee
consisting of a Chairperson, a Vice Chair, one Secretary and a Treasurer
(PTFA Executive), together with seven ordinary members and the Head
Teacher of Bankwood Community Primary School. A quorum of the Executive
Committee shall be six of its members.
6. The PTFA Executive shall be elected by an Annual General
Meeting and shall hold office for one year. They shall be eligible for
re-election subject to a maximum of three consecutive years in any one
office.
7. Five of the ordinary members of the Committee (to be known as
parents' representatives) shall be appointed by the parent membership
and two of the ordinary members of the Committee (to be known as staff
representatives) shall be appointed by the staff membership.
8. Ordinary members of the Committee shall normally hold office
for three years, except that two of the parents' representatives must
retire each year and one of the staff representatives must retire every
second year. Retiring members, who shall not be eligible for re-election
as ordinary members of the Committee, shall normally be those members
who have served longest on the Committee. In the event of more than the
requisite number of members having an equal length of service, retirals
shall be decided by lot.
9. Nominations for PTFA Executive and Ordinary Members of the
Committee must be in the hands of the Secretary not later than 21 days
prior to the Annual General Meeting and must be proposed and seconded by
members of the Association and accompanied by evidence of the nominees'
willingness to serve. Parent representatives shall only be proposed and
seconded by parents, and staff representatives shall only be proposed
and seconded by staff.
10. Should there be more nominations than are required to fill
any vacancies an election shall be held at the Annual General Meeting
with voting by the parent membership or the staff membership as
required.
11. If insufficient nominations are received to fill all
vacancies it shall be open to the Annual General Meeting to fill those
vacancies.
12. The Executive Committee may fill any vacancies occurring
between Annual General Meetings; such members shall serve until the next
Annual General Meeting.
13. When a person has been elected by Bankwood School parents to
represent them on the Regional Education Authority's Schools Council
that person shall become an additional member of Bankwood School
Association Committee if not already a member, and shall remain a member
of the Committee for as long as he/she is the parents' representative on
the Council.
14. The Executive Committee may appoint sub-committees to deal
with particular items of business and those sub-committees shall have
power to co-opt other members of the Association.
15. Honorary Membership
The Association may create an Honorary President and Honorary
Vice-Presidents, who will normally be elected members of the Lothian
Regional Council or a former Head Teacher of the School or a benefactor
of the School. Honorary Members so created shall have no voting rights.
16. Annual General Meeting
The Executive Committee shall call a General Meeting once each year,
at which Office Bearers and Committee Members shall be appointed and
reports on the year's activities presented by the Secretary and the
Treasurer. Members shall be given at least two months notice of the date
of the Annual General Meeting.
17. A quorum at the Annual General Meeting shall be 15 members.
18. Notice of the Annual General Meeting must be given to the
members in writing at least 14 days prior to the date of the meeting.
19. Special General Meetings
The Executive Committee by its own decision, or on being requested to do
so by no fewer than 10 members of the Association, shall call a Special
General Meeting for any business which cannot be held over until the
Annual General Meeting.
20. A quorum at a Special General Meeting shall be 15 members.
21. Notice of a Special General Meeting must be given to the
members in writing at least 14 days prior to the date of the meeting.
22. Constitution
Motions for amendment to the Constitution shall be submitted to the
Secretary in writing at least 21 days prior to the Annual General
Meeting and shall be signed by the proposer and seconder, who must be
members of the Association. The Secretary shall send copies of the
Motions to members when sending the Notice calling the Meeting.
23. Voting
At meetings of the Executive Committee each Office Bearer and each
Ordinary Member shall have one vote, with the Chairman also having a
casting vote.
24. At the Annual General Meeting or Special General Meetings
each member present shall have one vote, with the Chairman also having a
casting vote. All matters shall be decided by majority vote except for
amendments to the Constitution, which shall only be made if two-thirds
of the eligible members present vote in favour of the amendment.
25. Funds
The funds of the Association shall be lodged in a bank account opened
in the name of the Association.
26. The Treasurer of the Association shall have power to make
withdrawals from the bank account up to a maximum of 10 on any one
withdrawal. The Chairman and the Treasurer jointly shall have power to
make withdrawals in excess of 10.
27. The Treasurer may hold sufficient of the Association's funds
in cash to enable him to meet petty expenses.
28. The Treasurer shall prepare an Annual Statement of his
intromission and this statement shall be audited prior to being
submitted to the Annual General Meeting.
29. Auditor
The Executive Committee shall appoint an Auditor each year, who shall
not be a member of the Executive Committee.
30. Dissolution
The Association may be dissolved at a Special General Meeting called
for that purpose provided that at least three quarters of the members
attending the meeting vote in favour.
31. In the event of the dissolution of the association any assets
remaining after the satisfaction of all debts and liabilities shall not
be paid to or distributed among the members of the association but shall
be given or transferred to the School to be held in trust and applied
for any purpose which the law regards as charitable for the benefit of
the children attending the school.
If the reason for the winding up of the association is the closure of
the school then the residuary assets shall be given or transferred to a
recognised charitable body or bodies with similar objects.
32. General Dispensing Clause
The accidental omission to give notice to a member or the non-receipt
of a notice by a member shall not invalidate any proceeding of
resolutions of the Association or of the Executive Committee.
33. Complaints
Formal complaints about PTA activities shall be made in writing (or
by email) to the PTA Chairperson and copied to the Head Teacher. The
Head Teacher and the PTA Chairperson will endeavour to ensure that a
satisfactory outcome is achieved for the complainant and that processes
and procedures are updated as required. If the complainant is not
satisfied with the actions proposed and taken for resolution, then
advice and guidance can be sought from the Scottish Parent Teacher
Council.
